Assistant Corporate Counsel

Job Description
Currently seeking an Assistant Corporate Counsel in Tampa, FL for Bisk Education! Bisk Education is a rapidly growing company which facilitates the promotion and online delivery of degree and certificate programs from the nation’s leading traditional universities.

Position Summary:
Primary responsibilities will include researching and informing the company on various state and federal regulations and drafting, negotiating and analyzing a wide variety of licensing, sales and advertising agreements. Assistant Corporate Counsel has daily interaction with Corporate Counsel and General Counsel.

Principal Duties and Responsibilities:
• Research and advice on state and federal regulations affecting the company
• Support the continuous monitoring and adherence to relevant state and federal regulations
• Address legal requests concerning business development/licensing, advertising, sales, marketing and intellectual property issues
• Review, draft and negotiate advertising agreements, sales contracts, licenses/intellectual property agreements and other agreements
• Support the continuous improvement of standard form agreements and legal processes
• Prepare business contracts and review third party business contracts, revise terms and review proposed modifications, and negotiates final terms
• Gather evidence and information for management decision making
• Prepare legal documents, conduct research, work with outside counsel and develop strategies in preparation for presentation materials
• Assist senior internal and outside counsel with litigation preparation and support. Draft demands and prepare responses

Job Requirement

Knowledge, Skills and Abilities:
• Required:
• Excellent English language writing and oral communications
• Superior computer skills required (MS Office, Internet and Email)
• Experience with business development and intellectual property matters
• Experience in drafting and negotiating service agreements, sales contracts, licenses/intellectual property and other agreements
• Preferred
• 2 years of in depth administrative or contract law, with broad transactional background in technology related agreements
• Strong experience in researching and navigating state and federal regulatory matters
• Strong knowledge of Internet technology and Internet commerce
• Experience in Internet, high technology, and advertising agreements

Education Required:
• Law Degree from an ABA accredited law school and be admitted to the Florida Bar. Law Review, Moot Court, or equivalent involvement preferred. In-House experience a plus.
