Job Description
Summary:
•Serve as an attorney within the Office of the General Counsel, providing trusted counsel to all levels of management over a range of legal issues that may arise throughout the company, including business development, intellectual property, privacy, international transactions.
•Primary role will be to supervise and direct the activities of the Corporate Contracts department within the GCO. The Corporate Contracts department is comprised of 6 professional (non-attorney) staff and 1 support professional.
•Provide legal support for domestic and international contracts, with emphasis on contracts and grants with state and federal entities.
•Emphasis on transactional experience, state and federal government contracts, FARS, and commercial litigation.
•Oversee and perform RFP, proposal, contract/subcontract review, negotiations and interface with personnel. Ensure compliance with all US Government contract reporting requirements.
•Review and revise internal contracting procedures as needed.
•Occasional travel as needed.
Responsibilities:

•Able to assume lead responsibility for supervising and directing the work of the Corporate Contracts department. Manage flow of contract work across the organization (sell side)
•Manage multiple complex and time sensitive projects with limited supervision.
•Significant responsibility for advising senior management and officers about risk assessment.
•Provides legal advice on federal and state, RFPs, proposal review, contracts, Draft, review and edit major contracts, license agreements, etc.
•Monitor legal developments and trends, and provides training to business units on relevant legal issues.
•Work directly with business leaders and business teams to assist with various projects to provide advice on relationships with clients, partners and vendors, etc.
•Advise on a broad range of complex and strategic legal and business matters, including intellectual property (copyright, trademarks, patents, trade secrets), international distribution, commercial transactions, government contracts, tax matters, mergers and acquisitions, marketing, export control and compliance, data protection, privacy, matters applicable to the testing industry (administration, scoring and reporting scores), and other applicable regulatory matters.

Experience and Skills
Work Experience:

•6-10 years in a law firm or in-house legal department; managerial experience is required. Experience advising business clients, contract development and management; intellectual property law
Other Requirements:

•Juris Doctor Degree.
•Membership in one or more state bars, and willingness to become a member of the New Jersey Bar
•Strong interpersonal skills, strong writing ability and strong analytic capability are required. Demonstrated managerial experience required.
