SCOPE OF POSITION:
The Corporate Counsel will serve as legal counsel regarding the company’s securities law reporting and compliance, as well as on general corporate and governance matters for Pinnacle Foods.
ESSENTIAL DUTIES AND RESPONSIBILITIES (Additional Duties May Be Assigned):
Draft, review and provide legal advice regarding SEC filings, including 10-K, 10-Q, 8-Ks, Forms 3, 4 and 5, Rule 144, proxy filings and others required as business needs dictate
Ensure compliance with the rules of the SEC and NYSE
Section 16 compliance, record keeping and reporting, including monthly transaction statements, SEC filings and no-trading period monitoring and notifications
Coordinate, together with Internal Audit VP, compliance with the Sarbanes-Oxley Act, including required CEO and CFO certifications, and due diligence and disclosure committee meetings relating thereto
Provide advice and training regarding Regulation FD and provide legal counsel with respect to stockholder communications, investor and analyst presentations and meetings
Assist with preparation of agendas and minutes of Board meetings and Board Committee meetings and the drafting of resolutions.
Coordinate and confirm Committee compliance with Charter requirements
Work with corporate paralegal, preparing and maintaining official corporate records, notice and actions as required by federal, state and local jurisdictions and by other regulatory authorities
Maintain stockholder lists and relations with registrar and transfer agent
Provide legal support on matters related to Compensation and Benefits plans
Provide legal counsel with respect to acquisition and divestiture transactions
Review and provide legal counsel regarding press releases and other public disclosures
Provide legal support and advice regarding the full breadth of general corporate matters

SKILLS/PROFICIENCIES:
Comfortable interfacing with senior leadership and Board of Directors
Track record of building relationships with other functional partners (Finance, Accounting, HR)
Knowledgeable of relevant SEC regulations and public company governance matters
Ability to make informed objective decisions and exercise legal and business judgment
EXPERIENCE:
7+ years of experience as an Attorney dealing with corporate and securities matters; prior in-house experience a plus
EDUCATION:
Must have JD degree and be in current good standing with a US State Bar (NJ license preferred) |
