Job Description | JOB SUMMARY:
The Corporate Counsel will serve as a trusted advisor to Kapstone’s business. He or she will be responsible for working closely with the Company’s General Counsel in all legal efforts to support Kapstone’s:
•Human Resources department;
•Finance department;
•Operations;
•Treasury department; and
•Risk Management.
The successful candidate will perform a wide breadth of legal functions and serve as the General Counsel’s primary resource. Other operations-related legal issues (including, but not limited to, commercial contracts, SEC filings, EEOC matters, employment issues, code compliance, and other regulatory issues) may also be a part of the position as necessary. The Corporate Counsel must have a minimum of five (5) years working with complex, high exposure commercial and employment issues in a corporate or law firm setting.
DUTIES & RESPONSIBILITIES:
The successful candidate will handle a wide variety of matters arising from the company’s operations. This includes:
•Supporting HR by:
oServing as primary contact for corporate human resources;
oAdvising HR on a broad spectrum of employment and labor law issues;
oAssisting HR in preparing and implementing employment and labor policies and procedures;
oAdvising on payroll, benefits administration, recruiting, training and development, FLMA, FLSA, EEOC, affirmative action and other employment matters;
oReviewing responses to EEOC charges and participating in EEOC hearings;
oAdvising on interpretation and application of federal and state labor and employment laws; and
oKeeping HR up to date on changes in employment and labor laws and conducting training on such changes as requested.
•Drafting reviewing and editing business documentation such as vendor contracts, customer contracts, marketing materials, IT contracts
•Managing commercial disputes by:
oDefending non-litigated breach of contract claims against the Company or prosecuting non-litigated claims against customers;
oProviding advice regarding contract interpretation;
•Conduct legal research on projects/ability to write on specific issues;
•Occasional travel to represent KapStone facilities in legal matters.
Additional responsibilities may be assigned by the Vice President, Secretary and General Counsel as necessary.

Requirements QUALIFICATIONS:
•Have a JD and be in good standing with any state bar association.
•Possess 5+ years of experience in commercial (particularly contracts) and employment law issues in a corporate or law firm setting.
•Have superior verbal and written communication skills and excellent academic credentials.
•Demonstrate the ability to identify problems and implement corrective action.
•Be committed to high standards of behavior and performance.
•Prior in-house experience is a plus. |
