Corporate Counsel

Job Description
OVERALL SUMMARY OF POSITION: The Corporate Counsel is responsible for providing XOMA with high quality legal advice, overseeing litigation, identifying legal issues and risks to the company and assisting in the implementation of solutions to ensure legal compliance and help to achieve business objectives.

ESSENTIAL DUTIES:
•Manages legal business matters pertaining to the organization.
•Provides a variety of general corporate and commercial legal services to a number of in-house clients.
•Acts as advisor on legal issues involving the organization’s financial and reporting activities, including SEC matters, as well as compliance and corporate governance matters, including policy development.
•Coordinates legal matters handled by outside counsel, including oversight of any litigation.
•Identifies risks and proposes alternative structures to mitigate risks involved in potential transactions.
•Drafting of transactional documents dealing with a wide variety or corporate matters, including financing related agreements and commercial contracts.
•Provide corporate level due diligence.
•Oversight of legal database systems, insuring optimized efficiencies and streamlined processes.

MINIMUM QUALIFICATIONS/REQUIREMENTS:
•J.D. from an accredited law school and California State Bar membership.
•Minimum of 5 years experience; familiarity with a public company business environment.
•Experience in commercial activities as well as SEC and financing matters.
•Experience in general corporate matters, including corporate organization, securities compliance, drafting transactional documents, license agreements, employment law, immigration law, data privacy, risk management, negotiating and drafting agreements.
•Ability to work in diverse and complex team environment.
•Ability to identify risks and propose alternative structures to mitigate risks.
•Excellent communication and writing skills.
•Ability to manage significant workload with critical deadlines.

PREFERRED QUALIFICATIONS/REQUIREMENTS:
•Experience in a biotechnical/pharmaceutical company.
•Experience in drug-related regulatory laws, both domestic and international.
•Experience working with government contracts.
