Job Description | Corporate Counsel
This position will report to the General Counsel Executive Vice President. The primary responsibilities for the Corporate Counsel will be preparation, negotiation and control of most corporate commercial contracts; assist with corporate governance; and support with company’s mergers and acquisitions activity, including managing and conducting due diligence, contract review and negotiations, all in coordination with the General Counsel executive VP.
Your Task
•Support all departments in mostly commercial and other contractual matters, but as well related to other matters (e.g. claims, competition matters, HR legal support, IPR-related matters, environmental, trading, etc.) as to be coordinated with the General Counsel
•Deal with litigation, control and supervise with law firms
•Understanding of the company’s business strategy
•Responsible for foreseeing and protecting the company against legal risks
•Prepares and/or reviews contracts involving various substantive areas of law
•Maintain current knowledge of legal issues and developments in the law
•Provide high quality oral and written legal advice
•Recommend practical courses of action to achieve company goals within the scope of what is legally permissible
Your Profile
•Graduate from an accredited law school with 5-7 years experience in a corporate or law firm setting
•Must be admitted into the Michigan State Bar
•2nd Language (German) preferred
•Flexible and pragmatic, willing to travel
•Willingness to gain technical knowledge and translate into legal words
•Some Experience in Mergers & Acquisitions transactions
•Must have good communication and interpersonal skills
