Merz North America is a global specialty healthcare company dedicated to the development and marketing of innovative quality products for physicians and patients across the US and Canada. Our products are distributed through three divisions: Aesthetics/OTC, Dermatology, and Neurosciences.

Position Overview:

This position represents an opportunity for a licensed attorney with 5-7 years of corporate legal experience. The position requires transactional and business development experience as well as a general understanding of IP and related regulatory issues.



Must be interested in growing your career in a dynamic, small legal department in the pharmaceutical, device and consumer industry. In this role, you would serve as a key resource for internal clients. The right attorney will provide primary counsel to the business development function and support management and business units in the following areas: licensing and acquisitions, general corporate, product promotion, regulatory and risk management.





Main Accountabilities

-
-Lead role in supporting local Business Development in licensing, product acquisition, and divestitures; close collaboration with Group Patent Affairs on BD and IP



-Provide legal advice and counsel to local BUs and support functions on licensing, corporate, complex regulatory, product promotion, contracts, and IP issues



-Work cooperatively with local Compliance function and BUs to encourage a culture of compliance



-Assist in development of department policies and processes for continuous improvement related to the IP function and the support of BUs in a matrix organization



-Draft, review, and negotiate a wide range of general commercial and general business contracts; advise BUs on potential legal implications of business arrangements



-Assist in risk management to guard against risk facing local BUs; provide legal advice regarding commercial disputes



-Participate on a promotional review committee; advise on FDA advertising issues governing the promotion/ sale of products



-Serve as local privacy officer; be the US expert on privacy
Required Skills


- Juris Doctor (JD) Degree w/ superior academic achievement


- Maximum 5- 7 years of overall legal experience in law firm and corporate legal department setting


- Corporate/Intellectual property/regulatory law background


- Experience in licensing and business development/corporate law; US pharmaceutical & device experience preferred
