Job Description
Mission
General Counsel reports to the President & CEO, and is responsible for managing, coordinating and overseeing all of the Agency's legal activities, both internal and external. The primary focus of the position is to ensure that the legal rights and interests of the Agency are protected.


Essential Outcomes
•Responsible for the oversight and management of Metro's outside legal counsel, in-house counsel and any special counsel, in accordance with the policies of the Agency's Board of Commissioners and under the direction of the President and CEO.
•Provide legal advice and opinions to the Agency's Board of Commissioners and the President & CEO.
•Manage the civil law business of the Agency's departments, divisions, offices, officers, boards and commissions, including providing legal advice and guidance regarding day-to-day operations as well as special issues that arise; manage all communications between Agency personnel and outside legal counsel; and ensure the performance and quality of outside legal services provided to the Agency.
•Review and approve all legal documents to which the Agency is a party including, without limitation, all contracts, agreements, deeds, bonds, leases, easements, licenses, resolutions, drafts of legislation, legal documents filed by outside counsel on behalf of the Agency, etc.; and approve any documents to be signed by the President & CEO or any other Agency officer, director, or manager prior to their execution.
•Provide legal advice and opinion to other Agency departments, including, without limitation, human resources, real estate, construction/vendor agreements, risk management, workers compensation, labor relations, EEO/affirmative action, ADA, and compliance with internal policies as well as local, state and federal statutes and regulations.
•Attend all Board of Commissioners meetings and Board Committee meetings; act as Deputy Secretary to the Board of Commissioners, including the preparation of Board resolutions and the preparation of minutes of Board and Committee meetings.
•Serve as custodian of records of the Agency and respond to public record requests.
•Manage the competitive procurement of external legal counsel and/or special counsel, and evaluate the quality and approve cost of ongoing outside legal services.
•Advise the Board of Commissioners and the President & CEO concerning all critical legal issues or other significant issues regarding potential litigation that may involve the Agency, or pending litigation in which the Agency is involved and that is being handled by outside counsel.
•Supervise corporate compliance activities, including, without limitation the development and implementation of policies and procedures, investigation of fraud and ethics complaints, response to potential conflicts of interest, records retention and information security.
•Maintain financial disclosure forms required by Missouri and Illinois to be filed annually by Agency Commissioners and certain Agency Officers.
Required Skills

•Proven legal analysis and problem-solving skills.
•Ability to apply knowledge of law to operational issues in a practical, results-oriented manner.
•Experience in dealing with federal and state governments and regulatory agencies. Experience with the U.S. Department of Transportation regulations and requirements, including grant procedures and acquisition regulations is a plus.
•Experience in a corporate setting and/or familiarity with labor law, employment law, EEOC law, and contract law; and familiarity with special taxing districts, municipal finance and structured lease products a plus.
Required Experience


Law degree from an accredited law school and license to practice law in the states of Missouri and Illinois; or license to practice law in Missouri or Illinois, with eligibility to obtain licensing in the other state upon employment. Minimum of ten (10) years of experience in general corporate law. Emphasis on experience in Contract law
(particularly construction and vendor contracts), Procurement, Labor and Employment law, EEOC, Risk Management, and Real Estate. Experience with special taxing districts a plus.
