General Counsel

Job Description
Type: Regular Full-Time

Overview:
Assists in protecting Halo Pharmaceutical Inc legal interest and maintaining its operations within the scope established by law. Provides hands-on counsel to all levels of executive staff. Responsible for identifying and analyzing legal issues, drafting key documents, presenting clear recommendations, and assuring legal compliance.


Responsibilities:

Work with department heads to review, draft and negotiate a variety of commercial agreements, including technology, licensing, consulting, marketing, service, confidentiality and other business agreements

Efficiently manage a large volume and variety of agreements (from simple addendums to complex agreements)

Assess potential risks, benefits and consequences of decisions, present alternatives and propose solutions to achieve business objectives while effectively managing legal and practical business considerations

Interface directly with various internal business units, including Sales and Marketing, Finance, Human Resources and Purchasing, as well as legal counsel and contracting personnel for counter-parties

Examine legal data to determine advisability of defending or prosecuting lawsuits

Represent corporation in litigation and other legal proceedings

Provide practical legal counsel and develop solutions to internal business issues

Evaluate contractual commitments and liabilities in support of merger and acquisition efforts

Education / Experience:
J.D. from an accredited university and license to practice law in New
Jersey, along with 7 plus years of increasingly responsible experience.

B.A., B.S. or M.B.A. from an accredited college or university.

Pharmaceutical industry experience is preferred. Experience in the areas
of general commercial and contract law, and marketing law are all relevant.
